Terms of Service

Please read these Terms of Service ("Terms") carefully before using the services offered by NexaFlowTech ("Company", "we", "us", or "our"). By accessing our website or engaging our services, you agree to be bound by these Terms.

1. Services

NexaFlowTech provides software development services including but not limited to: ERPNext implementation, Frappe development, SaaS platform development, custom web development, mobile app development, and annual maintenance contracts (AMC). The specific scope, deliverables, timeline, and pricing for each project are defined in a separate Statement of Work (SOW) or Service Agreement signed by both parties.

2. Payment Terms

• Projects require an upfront advance payment as specified in the project agreement before work begins
• Milestone-based billing applies to projects over ₹2,00,000 or 8 weeks duration
• Invoices are due within 15 days of issuance unless otherwise agreed in writing
• Late payments beyond 30 days may incur an interest charge of 1.5% per month
• All prices are exclusive of applicable taxes (GST) unless stated otherwise

3. Intellectual Property

Upon receipt of full payment, NexaFlowTech assigns all intellectual property rights in the custom-developed code to the client. Open-source components used in the project remain under their respective licenses. NexaFlowTech retains the right to showcase the project in our portfolio unless the client requests confidentiality in writing.

4. Client Responsibilities

• Provide timely feedback, approvals, and content as required for project progress
• Ensure access to required systems, credentials, and stakeholders
• Designate a project point of contact who can make decisions on behalf of the organization
• Review and sign off on deliverables within the agreed timeframes

5. Confidentiality

Both parties agree to maintain confidentiality of proprietary information shared during the engagement. This includes business processes, technical specifications, pricing, and client data. Confidentiality obligations survive the termination of the agreement for 3 years.

6. Limitation of Liability

NexaFlowTech's liability for any claim arising out of or related to our services is limited to the total fees paid by the client in the 3 months preceding the claim. We are not liable for indirect, incidental, special, or consequential damages including loss of profits, data loss, or business interruption.

7. Termination

Either party may terminate a project agreement with 30 days written notice. Upon termination, the client is responsible for payment of all work completed up to the termination date. NexaFlowTech will deliver all work-in-progress materials upon receipt of outstanding payments.

8. Warranties & Disclaimers

NexaFlowTech warrants that services will be performed in a professional manner consistent with industry standards. We provide a 30-day bug-fix warranty on delivered work. Beyond this period, maintenance is covered under AMC agreements. We do not warrant that software will be error-free or uninterrupted.

9. Governing Law

These Terms are governed by the laws of India. Any disputes shall be subject to the exclusive jurisdiction of the courts in Lucknow, Uttar Pradesh, India. For international clients, disputes may be resolved through mutual negotiation or binding arbitration under the UNCITRAL Arbitration Rules.

10. Changes to Terms

NexaFlowTech reserves the right to modify these Terms at any time. Changes will be posted on this page with an updated date. Continued use of our services after changes constitutes acceptance of the revised Terms.
